These terms and conditions apply to sales made by eleven teamsports GmbH, whose registered office is located at Im Winkel 1–3, 74589 Satteldorf, Germany. These terms and conditions apply to customers resident in Austria, Belgium, Bulgaria, Croatia, the Czech Republic, Denmark, Finland, France, Germany, Greece, Hungary, Italy, Ireland, Luxembourg, the Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain and Sweden. Alternative provisions apply to individual countries, meaning that there are deviations or additions. Any deviations or additions are indicated in the relevant sections.

1. General
The following General Terms and Conditions apply to contracts between eleven teamsports GmbH and its customers. Where the term 'consumer' is used in these terms and conditions, the following applies: a consumer is any natural person who enters into a legal transaction with the eleven teamsports GmbH for purposes that are predominantly neither commercial nor self-employed. It is not possible to provide VAT or other tax-related numbers in the webshop. If you place an order in the webshop on behalf of a company within the EU, you are responsible for declaring the VAT and not eleven teamsports.

For customers resident in Austria, the following applies:
In Austria, a person is considered a consumer if, under Section 1 (1) (2) of the Austrian Consumer Protection Act (KSchG), the transaction does not form part of the operation of their business.

These General Terms and Conditions apply exclusively, subject to any individual agreements to the contrary. Any reference to the customer's standard general terms and conditions is hereby rejected.

Where items are added to the order free of charge, this is subject to the condition that the purchase contract remains valid and, in particular, is not cancelled by withdrawal or rescission. If the purchase contract is cancelled, these items must also be returned.

The sale of goods to consumers is for private use only and only in quantities customary for normal household consumption. By making a purchase, the customer, whether a consumer or a business, confirms that the goods are not intended for commercial resale. eleven teamsports GmbH reserves the right to reject contractual offers that suggest that the goods are intended for commercial resale. This does not apply to individual commercial customers who have entered into a resale agreement with eleven teamsports GmbH.

For customers resident in the Netherlands, the following also applies:
Entry of VAT or other tax identification numbers is not supported within our online shop. A customer who places an order in our online shop on behalf of a business within the EU is solely responsible for the payment of VAT. eleven teamsports GmbH is not liable in this regard.

(1) Conclusion of contract through the "11teamsports.com" website
After you have added the product to your cart, you can view its contents in this view. You can either continue shopping, open the cart or proceed with the order process by going to the checkout. Just as in the cart, you have the option of changing the order quantity or removing a product from the cart at this stage. You can also enter your voucher code here if applicable. You will be directed to the checkout via a button. Here, if you are already a customer, you can log in using details stored with us, register as a new customer or continue the order process without registering. Please click on the corresponding button and enter the required information on the next page to complete a new registration or to place an order without registration. If applicable, you may enter a delivery address that differs from your billing address. Then, click on the next step to select your payment method. After successfully choosing the payment method, you will be taken to the shipping selection page. Please select your preferred shipping method and proceed to the order summary. (2) Conclusion of contract through Amazon Pay
After clicking on Amazon Pay, you will be redirected to a page of the payment service provider Amazon. On the next page, please select an address from your Amazon address book or edit your existing addresses. Next, please select your preferred shipping method in the next step. Check the information you have entered and the items you have selected. To complete the order process, confirm the order by completing the final step. Your order constitutes an offer to conclude a purchase contract. This email confirmation shall constitute the conclusion of the purchase contract.

2. Conclusion of Contract
(1) Customers must be of legal age; otherwise, the consent of their legal representative shall be required.

(2) All information provided on the website constitutes an invitation to submit an offer only. The products presented in our online shop do not constitute a legally binding offer but rather a non-binding online catalogue. The information does not constitute an offer on our part or a legally binding contract. By placing an order, the customer makes an offer to purchase the products listed therein. After receiving the order, eleven teamsports GmbH sends an order confirmation by email. This shall not constitute acceptance of the customer's contractual offer. The point at which the contract is concluded varies according to the chosen method of payment.

Payment may generally be made in advance by instant bank transfer, PayPal, credit card, Amazon Pay, purchase on account, Giropay or voucher. Upon conclusion of any contract, eleven teamsports GmbH reserves the right to withhold certain payment methods and to refer the customer to alternative payment methods, particularly those aligned with the customer's creditworthiness, to mitigate credit risk. There shall be no entitlement to a specific payment method. If payments are to be made via third-party payment processors, their payment terms and conditions shall also apply. If payment is made immediately after placing an order, for example, when paying by instant bank transfer or PayPal, the contract is concluded with the successful completion of the payment transaction via the payment service provider. In the case of payment by credit card, the contract is concluded at the time the credit card is charged. For other payment methods, eleven teamsports GmbH may accept the order by sending an order confirmation by email or by delivering the goods within the expected delivery times. Such shall constitute the conclusion of the contract.

For customers resident in Austria, the following applies:
If, despite reasonable efforts, the goods ordered cannot be procured on the market, eleven teamsports GmbH shall be entitled to withdraw from the contract.

Any information we provide shall not constitute a legally binding offer, even within the context of jersey competitions and prize draw campaigns. A legally binding contract for the goods shall only be concluded upon receipt of a shipping confirmation.

(3) Customers may purchase certain items in the online shop in advance, even if such items are not yet ready for immediate dispatch ('pre-sale items'). Pre-sale items shall be marked as such in the online shop. The respective product page informs the customer of the approximate delivery date and the latest delivery date of the product in question. The customer places the order in the same manner as for regular products. The customer hereby agrees that, irrespective of the payment method selected, payment shall be collected in the same manner as for regular products, even if the pre-sale items ordered have not yet been delivered, are not yet ready for dispatch and have not yet been invoiced. The customer shall receive the invoice upon delivery of the pre-sale items. In all other respects, these terms and conditions apply, in particular, Section 7 (6).

For customers resident in Austria, the following applies:
The customer expressly agrees to this longer, indefinite delivery period. This may also take considerably longer than 30 days.

(4) eleven teamsports GmbH shall also make its online shop available to designated partners, enabling them to offer and sell their own products via the platform. Partner products are those for which the respective product page shall include a notice stating, 'Sold and shipped by [name of partner]'. Contracts for partner products shall be concluded directly between the customer and the partner. This means that the partner's general terms and conditions apply. Any warranty and/or defect claims must likewise be directed to the partner. No contractual claims may be asserted against eleven teamsports GmbH in relation to partner products. Products sold directly by eleven teamsports GmbH, on the other hand, are products offered in the eleven teamsports GmbH online shop that do not carry an explicit notice identifying them as partner products.

The following also applies to customers resident in France:
(5) Consumers have the right to obtain access to this contract's written documentation upon request and within the limits set by the relevant legal provisions.

3. Payment Methods
If the customer selects advanced payment as the payment method, we will provide our bank details to the customer in the order confirmation email. The transfer payment must be made to this account. Express delivery is not available with this payment method.

In the case of payment by credit card, the customer may, after completing the order process, provide their credit card number, card expiration date and three-digit card verification number. The invoice amount shall then be debited from the corresponding account.

If PayPal is the selected payment method, the customer shall be redirected to PayPal's payment website upon completion of the order process. If the customer already has a PayPal account, the customer may log in there and process the payment. If the customer does not yet have a PayPal account, the customer may create a PayPal account via the link 'Open PayPal account' by entering their information and then proceeding with the payment process. The particulars shall be governed by the agreement concluded between the provider PayPal and the customer.

With respect to the PayPal Express payment method, the customer is granted direct access to their PayPal account at the very beginning of the cart stage. The particulars shall be governed by the agreement concluded between the payment provider PayPal and the customer.

When choosing the buy now and pay later payment method (a service offered by PayPal), the payment is processed by PayPal. No PayPal account is required for this. The customer receives a billing summary for the billed amount by email. The customer simply transfers the money to the account specified on the billing summary within 30 days of placing the order. This payment method is only possible within Germany and only for orders with a minimum order value of EUR 1.50 up to EUR 1,500. In addition, the date of birth of the billing recipient must be provided and the recipient must be of legal age.

When choosing the payment method, purchase by instalments (a service offered by PayPal), the payment is processed by the payment service provider PayPal. A PayPal account is required for this. The cart value (plus interest) may be paid off in 12 monthly instalments. This payment method is possible with a minimum order value of EUR 199 up to an amount of EUR 5,000. The particulars shall be governed by the agreement concluded between the provider PayPal and the customer.

If SOFORT bank transfer is selected as the payment method, the customer shall be redirected to the payment service provider's website upon completion of the order process. The customer may complete the bank transfer via online banking by entering the PIN and TAN that they have received from their bank. This payment method is only available to people with bank accounts in the following countries: Germany, Austria, Switzerland, the Netherlands, Belgium, Poland, Spain, Italy and the United Kingdom.

With respect to the Amazon Pay payment method, the customer is granted direct access to their Amazon account at the very beginning of the cart stage. The particulars shall be governed by the agreement concluded between the payment provider Amazon and the customer.

If Paydirekt is the selected payment method, the customer shall be redirected to Paydirekt's payment website upon completion of the order process. If the customer already has a Paydirekt account, the customer may log in there and process the payment. If the customer does not yet have a Paydirekt account, the customer may create a Paydirekt account by entering their details via the 'Activate now and continue shopping' link and then proceeding with the payment process. The particulars shall be governed by the agreement concluded between the provider Paydirekt and the customer.

Costs for packaging and shipping are listed separately within the product description.

4. Prices
(1) All prices include the applicable value-added tax. Where the customer is acting in a business capacity, the following applies: Any changes in the list prices of our suppliers or the freight, taxes, customs duties or levies upon which the price calculation is based that occur between conclusion and delivery shall entitle eleven teamsports GmbH to adjust the price accordingly. The right to increase the price shall only apply insofar as the customer may request payment of these costs from its contractual partners.

(2) Where the customer constitutes a consumer, the following applies: eleven teamsports GmbH shall have the right to increase the price on the grounds and to the extent set out above if the goods or services are to be delivered or provided more than four months after conclusion of the contract. This shall not apply to continuing obligations.

For customers resident in Austria, Section 3 (2) is to be replaced as follows: Where the customer constitutes a consumer, the following applies: eleven teamsports GmbH shall have the right to increase or decrease the price between the conclusion of the contract and delivery due to changes in the list prices of our suppliers or the freight, taxes, customs duties and levies upon which the price calculation is based, over which eleven teamsports GmbH has no control, or is to be granted if the goods or services are to be delivered or provided at least four months after the conclusion of the contract.

For customers resident in Italy, Section 3 (2) is to be replaced as follows: For goods or services scheduled for delivery or performance more than one month after the conclusion of the contract, the seller shall have the right to increase the price of the goods or services in line with prevailing market conditions. Accordingly, the Italian consumer shall have the right to withdraw from the contract.

5. Value Vouchers, Percentage Vouchers and Promotional Vouchers
(1) Value vouchers:
The customer may purchase value vouchers in predetermined values. A distinction is made between two types of value vouchers: the online value voucher and the store gift card.

The online value voucher can only be purchased and redeemed online. The online value voucher will be sent exclusively by email to the email address provided when ordering the voucher. Online value vouchers are valid across the entire online shop, with the exception of partner products, in accordance with Section 2 (4) of these terms and conditions, which are indicated in the online shop with the notice 'Sold and shipped by [name of partner]'. Value vouchers are valid throughout the eleven teamsports GmbH retail stores and across the entire online shop, with the exception of partner products, in accordance with Section 2 (4), last paragraph, of these terms and conditions, which are indicated in the online shop with the notice 'Sold and shipped by [name of partner]'.

The redemption of an online voucher is only possible when placing an order in the online shop. Online vouchers may only be redeemed when placing an order through the online shop. To do so, click on 'Add voucher code' during the check-out process and enter the voucher code. Only one online value voucher may be redeemed per order and cannot be combined with any other discount code.

A store gift card may only be purchased in 11teamsports retail stores and can be redeemed exclusively at these locations. The store gift card may be redeemed throughout all 11teamsports retail stores upon presentation of the gift card. Only one store gift card may be redeemed per in-store purchase.

Retrospective application of value vouchers to purchases or orders that have already been completed is not permitted. If the value of the value voucher exceeds the purchase amount, the remaining balance of the value voucher shall remain for future use. If the customer returns goods that were paid for in whole or in part using a value voucher, the amount to be refunded shall be credited back to the value voucher up to a maximum of its original amount. If the amount to be refunded, as a result of the return, exceeds the original value of the voucher, an amount equal to the original voucher amount will be credited back to the voucher first. If the amount to be refunded, as a result of the return, exceeds the original value voucher amount, an amount equal to the original value voucher will be credited back to it first and any remaining amount shall be refunded to the payment originally selected.

The value voucher is transferable. It is valid for three years from the date of purchase. Value vouchers are not redeemable for cash and do not accrue interest. The customer undertakes to keep the value voucher code confidential and disclose it only to authorised persons. eleven teamsports GmbH shall accept no liability for value voucher codes that are lost or stolen following purchase. eleven teamsports GmbH may make payment to the holder of the value voucher code, which shall have a discharging effect. This shall not apply if eleven teamsports GmbH has knowledge of or is grossly negligently unaware of the holder's ineligibility, legal incapacity or absence of power of representation. eleven teamsports GmbH shall accept no liability for any damage resulting from improper use of value vouchers, except where such damage results from a wilful or grossly negligent breach of obligation on the part of eleven teamsports GmbH.

Value vouchers may not be used for commercial advertising or marketing purposes by third parties without the prior written consent of eleven teamsports GmbH.

(2) Percentage vouchers
Percentage vouchers are value voucher codes which, unlike value vouchers in accordance with Section 4 (1) of these terms and conditions, cannot be purchased but are issued by eleven teamsports GmbH, in particular, as a gesture of goodwill. Where a specified validity period has been determined for a percentage voucher, it may only be redeemed within this defined period. Certain products or brands may be excluded from the redemption of a percentage voucher. Percentage vouchers may be redeemed only once. If a customer redeems a percentage voucher against an order and then returns the order in full, for example, by exercising their right of cancellation, the percentage voucher shall be reinstated and may be used again. Alternatively, the customer may receive a new equivalent percentage voucher at the discretion of eleven teamsports GmbH. If a percentage voucher is subject to a specified minimum purchase amount, this amount shall refer to the purchase value actually realised. Therefore, if an order placed using a percentage voucher subsequently falls below the minimum purchase value specified for the percentage voucher, for example, because the customer exercises their right of cancellation for individual items, the discount of the percentage voucher shall be forfeited in respect of the remaining items. In such cases, the percentage voucher shall also be reinstated and may be used for a subsequent order. Alternatively, at the discretion of eleven teamsports GmbH, the customer may receive a new percentage voucher of the same value. A percentage voucher issued online cannot be redeemed in physical retail stores.

(3) Promotional vouchers:
Promotional vouchers are voucher codes that cannot be purchased, unlike value vouchers in accordance with Section 4 (1) of these terms and conditions. They are issued by eleven teamsports GmbH as part of daily promotions, whereby the promotion, the applicable discount and the corresponding voucher code are displayed, for example, as a banner when accessing the online shop. Such vouchers may be redeemed exclusively in the online shop. Certain products or brands may be excluded from the redemption of a promotional voucher. If a promotional voucher is subject to a specified minimum purchase amount, this amount shall refer to the purchase value actually realised. Therefore, if an order placed using a percentage voucher subsequently falls below the minimum purchase value specified for the percentage voucher, for example, because the customer exercises their right of cancellation for individual items, the discount of the percentage voucher shall be forfeited in respect of the remaining items. If the customer redeems a promotional voucher for an order and subsequently returns the order in full, for example, by exercising their right of cancellation, the promotional voucher shall not be reinstated and cannot be used again.

(4) Any of the voucher types referred to in Section 4 of these terms and conditions, such as value vouchers, percentage vouchers and promotional vouchers, may not be combined in any way.

6. Right of Cancellation and Cancellation Form
(1) The right of cancellation in accordance with statutory provisions is granted exclusively to consumers for products sold by eleven teamsports GmbH. For further information, please refer to the cancellation policy (available at: https://www.11teamsports.com/de-de/widerrufsrecht/) and the cancellation form (available at: https://www.11teamsports.com/de-de/widerrufsformular/) or the sample cancellation form (available at: https://www.11teamsports.com/de-de/widerrufsrecht/#Muster-Widerrufsformular).

Unless the parties have agreed otherwise, the right of cancellation does not apply to contracts for the supply of goods that are not prefabricated and the production of which is determined by an individual selection or specification by the consumer or which are clearly tailored to the consumer's personal requirements.

For customers resident in France, the following applies:
eleven teamsports GmbH offers the consumer the opportunity to cancel the contract within fourteen (14) days of receipt of the goods without having to state any reason therefor and without incurring any contractual penalties. Only the costs of returning the goods shall be charged to the consumer. Products must be returned in their original condition and packaging. The refund shall be processed upon receipt of the goods. If the products fall under the scope of the aforementioned right of cancellation and the consumer exercises their right of cancellation within the period of fourteen (14) days, eleven teamsports GmbH shall offer the consumer either a refund or a credit note to the amount of the returned products and the associated delivery costs.

(2) Consumers also have a right of cancellation in accordance with Section 2 (4) of these terms and conditions with respect to partner products. To exercise your right of cancellation, you must either inform us

or the relevant partner by means of a clear and unambiguous declaration of your decision to withdraw from this contract. If you choose to exercise your right of cancellation with respect to your partner product in relation to eleven teamsports GmbH, please also refer to the cancellation procedure (available at: https://www.11teamsports.com/de-de/widerrufsrecht/) and the cancellation form (available at: https://www.11teamsports.com/de-de/widerrufsformular/) or the sample cancellation form (available at: https://www.11teamsports.com/de-de/widerrufsrecht/#Muster-Widerrufsformular).

7. Retention of Title
(1) Where the customer constitutes a consumer, this paragraph and the following apply: Ownership of the goods shall remain the property of eleven teamsports GmbH until the purchase price has been paid in full. Until the transfer of ownership, the purchaser shall not be entitled to sell, dispose of or encumber the goods before they have become the purchaser's property. If a third party initiates enforcement proceedings against the goods, the customer shall be obliged to inform eleven teamsports GmbH without delay and to provide us with all the information and documents necessary for an intervention. The purchaser shall compensate the seller for all losses and costs incurred as a result of a breach of this obligation and for any intervention measures required to prevent third parties from accessing the goods.

(2) If the purchaser acts in breach of contract, in particular, by failing to meet payment obligations despite a reminder from the seller, the seller may withdraw from the contract after setting a reasonable deadline and demanding the return of the goods still in its ownership. The seller's repossession of the goods shall constitute a withdrawal from the contract. The purchaser shall bear any transport costs incurred with respect to repossession. The seizure of the goods by the seller shall in all cases constitute a withdrawal from the contract. Upon receipt of the returned goods, the seller shall be entitled to dispose of them. The proceeds from such disposal shall be credited against the purchaser's liabilities, less any reasonable costs of sale.

(3) Where the customer is acting in a business capacity, the following also applies: Ownership of the goods shall remain with eleven teamsports GmbH until all claims to which eleven teamsports GmbH is entitled against the customer now or in the future have been settled. This includes all balance claims from current accounts. eleven teamsports GmbH shall be obliged to release any securities to which it is entitled insofar as the realisable value of such securities exceeds the claims to be secured by more than ten per cent (10%). The selection of securities to be released shall be at the discretion of eleven teamsports GmbH. The threshold for triggering the entitlement to release shall be 150% of the relevant appraised value. The goods may be resold in the ordinary course of business, provided that a resale agreement has been concluded with eleven teamsports GmbH. The customer hereby assigns to eleven teamsports GmbH, with immediate effect, the purchase price claim in the amount of the outstanding claim to which eleven teamsports GmbH is entitled. eleven teamsports GmbH hereby accepts the assignment thereof. The customer shall remain entitled to collect the assigned receivables, subject to revocation. Upon informal request, the customer shall disclose the name and address of the debtor. eleven teamsports GmbH shall not collect the assigned receivables unless the customer is in default or insolvency proceedings have been initiated against the customer's assets.

(4) The purchaser shall treat the goods subject to retention of title with due care and shall insure them at replacement value adequately at its own expense against fire, water damage and theft.

(5) In the event of processing or transformation of the goods with materials not owned by eleven teamsports GmbH, eleven teamsports GmbH shall acquire co-ownership of the newly created item in proportion to the value of the goods (final invoice amount incl. VAT) relative to the value of the new item. The same shall apply in cases of combination or inseparable mixing, provided that the goods do not constitute the principal item.

For customers resident in Austria, Section 6 (3) (1–4) and Section 6 (4) do not apply.

8. Delivery
(1) If delivery of the goods is outstanding, eleven teamsports GmbH shall hand over the goods to a shipping company that will deliver them free to the kerbside. The delivery period for the requested product shall be specified in the product description within our offer. Unless otherwise stated, eleven teamsports GmbH will generally dispatch the goods within two working days of receipt of payment if advance payment has been agreed upon. If an advance payment has not been agreed upon, dispatch shall generally occur within two working days of receipt of your order. A specific date by which the goods must be delivered is neither agreed upon between the parties nor prescribed by law.

(2) Where the customer is acting in a business capacity, the following provisions of this paragraph apply: All shipments are always transported at the customer's risk. The risk shall pass to the customer as soon as the shipment has been handed over to the person responsible for transport. eleven teamsports GmbH shall determine the mode and route of shipment without guaranteeing the lowest freight cost, full utilisation of the load weight or desired wagon or container size. Customer requests shall be taken into account where feasible and at the customer's expense. eleven teamsports GmbH shall not be held liable for delays in delivery for which the shipping company is responsible.

(3) eleven teamsports GmbH shall not be held liable for delays in delivery and performance due to instances of force majeure and due to events that make delivery significantly more difficult or impossible for us (this also includes subsequently occurring difficulties in procuring materials, operational disruptions, strikes, lockouts, personnel shortages, lack of means of transport, official orders, etc., even if they occur at our suppliers or their sub-suppliers) regardless of any binding deadlines or dates that have been agreed upon. You hereby authorise us to postpone the delivery for the duration of the impediment plus a reasonable lead time, or to withdraw from the contract in whole or in part with respect to the unfulfilled portion of the contract.

For customers resident in Austria, the following applies:
The preceding Section 7 (3) above shall be deleted. If a reasonable deadline for delivery has been exceeded, the customer may withdraw from the contract insofar as this has not yet been fulfilled. eleven teamsports GmbH shall have no right of withdrawal in this case.

(4) Should the impediment persist for more than six (6) weeks, the customer shall be entitled, upon granting a reasonable grace period, to withdraw from the contract with respect to the unfulfilled portion of the contract.

(5) eleven teamsports GmbH shall be entitled to make partial deliveries, provided that the products may be used separately and that eleven teamsports GmbH bears the additional shipping costs for said partial deliveries.

(6) eleven teamsports GmbH shall reserve the right to withdraw from the purchase contract if, despite having previously entered into a corresponding purchase contract on its part and despite exercising commercial diligence, it is not supplied with the goods by its own suppliers and is not responsible or at fault therefor. In this case, the customer, if a consumer, shall be informed immediately of the non-availability and shall be entitled to the right of cancellation and the purchase price paid shall be refunded immediately using the selected payment method.

For customers resident in France, the following also apply:
In relation to consumers, eleven teamsports GmbH shall remain responsible for the delivery of the products until they arrive at the consumer's premises. The consumer may, by setting a deadline, request that eleven teamsports GmbH make the delivery within a reasonable grace period. If delivery is not made within this grace period, the consumer may cancel the order in writing. In the event of non-compliance with the delivery deadline, the consumer may immediately cancel the order if the consumer has indicated that adherence to the delivery deadline is a material condition for the consumer's purchase.

9. Warranty in Purchase Contracts
(1) eleven teamsports GmbH hereby expressly indicates that no warranty claim shall arise if, at the time of the transfer of risk, the product complies with the subjective requirements, objective requirements and assembly requirements of Section 434 of the German Civil Code (BGB).

For customers resident in Austria, Section 8 (1) is to be replaced with the following:
No warranty claim shall arise if the product was free from (hidden) defects at the time risk transferred to the customer.

A warranty claim shall not apply in the following cases, in particular:
  • Damage caused by the customer through misuse or improper use
  • Damage caused by the products being exposed to harmful external influences outside the scope of normal or foreseeable use by the customer (in particular, extreme temperatures, moisture or exceptional physical stress)

(2) If the repair or replacement fails after expiry of a reasonable period of time, the customer may, at the customer's discretion, demand a reduction in the purchase price (abatement) or declare withdrawal from the contract.

For customers resident in Austria, Section 8 (2) is to be replaced with the following:
In the event of a warranty claim, the customer may avail of statutory warranty remedies (primarily improvement or replacement or, if the legal conditions are met, a price reduction or cancellation).

(3) Warranty claims by business customers expire after one year. This does not affect the limitation period for recourse claims within the meaning of Sections 478 and 479 of the German Civil Code (BGB). If used goods are sold, the warranty with respect to businesses is excluded unless eleven teamsports GmbH has violated its obligations through gross negligence or intent. Warranty claims asserted by consumers are limited to two years or one year in the case of used goods.

For customers resident in Austria, Section 8 (3) (3) is to be replaced as follows:
Warranty claims against consumers shall be limited to two years after proper delivery or one year in the case of used goods.

For customers resident in Spain, Section 8 (3) (3) is to be replaced as follows:
The consumer shall have a warranty period of three years starting from the date of delivery of the goods. The warranty period for used goods is one year.

(4) Where the customer is acting in a business capacity, the following applies: The customer must inspect the shipment immediately upon arrival for identity, transport damage and storage defects. The customer must notify us immediately in writing of any defects or losses by means of a report from the carrier. Furthermore, obvious defects must be reported to us in writing immediately, at the latest within two weeks of delivery. Defects that cannot be discovered within this period, even after careful inspection, must be reported to us immediately after discovery.

(5) The preceding paragraphs set out the warranty terms in full for the products and exclude any further warranty claims of any kind. This shall not apply where the customer constitutes a consumer, as the warranty rights for a consumer apply without restriction.

For customers resident in the Netherlands, the following applies:
For further clarification: Where the customer constitutes a consumer and has received a product that is or becomes defective and the defect is not attributable to the fault of the customer (e.g. misuse or improper use), the customer may make a complaint to eleven teamsports GmbH by reporting the issue by email or telephone:

In the case of visible defects that are present at the time of delivery, the customer should submit a complaint to eleven teamsports GmbH as soon as possible. In the case of invisible defects or defects that only become apparent after some time, eleven teamsports GmbH recommends that the customer also report these as soon as possible and within two (2) months of discovering the defect. The complaint must always be made within a 'reasonable period of time' after discovery of the defect. If the complaint is accepted, eleven teamsports GmbH shall either repair the product or offer a replacement. If the repair or replacement fails after a reasonable period of time, the customer shall be entitled to assert the rights set out in Section 8 above.

10. 'Champions Club'
Customers also have the option of registering for membership in eleven teamsports GmbH's 'Champions Club' and becoming Champions Club members independently of the order process. Existing customer accounts on the website may be converted into a Champions Club membership at any time.

Consumers who are residents in Germany and are at least 18 years old may become members of the Champions Club. Individuals under the age of 18 require the prior consent of their legal guardians, which we reserve the right to request. Each individual may only register once for membership of the Champions Club at any given time, even if the individual concerned uses different email addresses. Membership in the Champions Club is not open to legal entities or businesses. In particular, commercial traders who resell goods purchased from us for commercial purposes are excluded. We reserve the right to review any registrations we suspect are not permitted under these terms and conditions and, if applicable, to temporarily block and permanently delete such registrations.

Membership of the Champions Club is voluntary. Receiving newsletters and further information is free of charge but only with the provider's consent. Nevertheless, all offers in the eleven teamsports online shop remain available without being registered as a member of the Champions Club.

When registering, you must provide your name, a valid email address and a password of your choice. The customer undertakes to provide truthful and complete information and to keep the information up to date. The password must be sufficiently secure and kept confidential by the Champions Club member.

A customer account is created through the process of registration. Champions Club members may log into their customer account using the email address provided at the time of registration and the password they have chosen. Orders placed in the online shop may be viewed within the customer's account. Champions Club members also receive benefits such as early information about launch items and advanced access to certain products (pre-sale items) via the newsletter and in the Champions Club customer account.

A registered Champions Club member earns points with every purchase. As a general rule, 10 points are credited for every EUR 1 of purchase value. In addition, there is also the ongoing opportunity to earn additional points beyond this, for example, when purchasing selected products, participation in promotions or through the member's actions, such as participating in tournaments organised by eleven teamsports GmbH, which are usually announced on the relevant product or service web page. Depending on the number of points earned, Champions Club members may use their points to enjoy certain benefits, such as achieving special service levels, improving their status for pre-sales or receiving additional offers such as product enhancements. Any points collected by customers who do not place any orders in the eleven teamsports online shop for more than one year while logged into their Champions Club customer account will expire. Once such points have expired, they cannot be reinstated, even with subsequent purchases. eleven teamsports GmbH reserves the right to revoke points retrospectively if the associated purchase is not valid, particularly in cases of cancellation or reversal.

eleven teamsports reserves the right to adjust the benefits granted to Champions Club members, particularly based on customer feedback and other relevant factors, provided that such adjustments are reasonable for the Champions Club members. An up-to-date overview of the current benefits for Champions Club members may be viewed at any time in your customer account or on the Champions Club landing page at https://www.11teamsports.com/de-de/l/champions-club.

Deletion of the Champions Club customer account and deregistration from the Champions Club are possible at any time, free of charge, and can be undertaken either by sending an email message to service@11teamsports.com or via a function provided for this purpose within your customer account. In this case, the points collected will expire and cannot be restored even if you re-register at a later date. Points cannot be exchanged for cash. Points cannot be transferred to other Champions Club membership accounts.

The right of cancellation described in Section 5 of these terms and conditions shall apply accordingly.

11. Liability
Claims for damages against us and against our vicarious agents and assistants arising from any disruptions in performance or tortious acts are excluded, unless the damage was caused intentionally or by gross negligence. This does not apply to claims for damages arising from the warranty of characteristics, which are intended to protect the customer against the risk of consequential damage caused by defects, nor to claims relating to injury to life, limb and health.

For customers resident in Austria, the following applies:
The preceding last half-sentence shall only apply if the customer is acting in the capacity of a business.

We shall not be held liable for delays in delivery caused by delays in production.

Our liability for damages and expenses arising from simple negligence is excluded unless such claims are based upon the breach of contractual obligations, the proper fulfilment of which is essential for the execution of the contract and upon the fulfilment of which the customer may regularly rely (hereinafter referred to as 'cardinal obligations'). Claims arising from injury to life, limb or health are not excluded, even in cases of slight negligence. Claims arising under the Product Liability Act shall also remain unaffected.

Insofar as a cardinal obligation is breached through negligence, our liability shall be limited to such damage and expenses that are typically associated with the contract and are foreseeable.

Where the customer is acting in a business capacity, the following applies: The customer's right of cancellation is excluded if we are not responsible for the breach of obligation. The right to withdraw from the contract due to a warranty for defects remains unaffected.

The above shall likewise apply in the event of breaches of obligation by our vicarious agents.

Where the contractual partner is acting in a business capacity, the contractual partner's claims to default interest shall remain unaffected by the above in the event of a claim for payment. The same shall apply to the contractual partner's claim to reimbursement in accordance with Section 288 (5) of the German Civil Code (BGB) or to compensation for damages incurred through legal enforcement expenses.

The above provision shall not apply to customers resident in Austria.

For customers resident in Italy, Section 10 above shall not apply. Instead, the provisions of limitation of liability set out under Legislative Decree 206/2005, as amended, shall apply.

12. Personalisation and Finishing with Motifs
Unless otherwise agreed with us in writing, the purchaser shall bear the risk of the suitability of the motifs obtained from us for the specific purpose pursued by the purchaser. We cannot guarantee that their use will not infringe upon the rights of third parties.

The finisher shall not be obligated to ensure freedom from third-party industrial property rights or obtain consent to use such rights when printing motifs and designs.

Where customers submit their own motif/pattern/design for processing/production or if the customer exerts any other creative influence on the product, the customer hereby guarantees freedom from third-party industrial property rights, including but not limited to company names, copyrights, personal rights or trademark rights. The client/customer shall indemnify eleven teamsports GmbH against all claims and demands arising from the infringement of such third-party rights, insofar as the client/customer is responsible for the breach of obligation. eleven teamsports GmbH shall not be obliged to verify the submitted motifs/patterns/designs but reserves the right to discontinue the work if there is a justified suspicion of an infringement of rights until the matter has been clarified. Any damages and expenses incurred shall be borne by the client/customer in the event of a breach of the rights described above.

12a. Special Aspects for Personalised or Finished Products
The finisher shall not be liable for customary deviations or minor technically unavoidable waste and deviations, including but not limited to quality, colour, width, weight, finish or design. The consumer's statutory warranty rights shall remain unaffected.

The right of cancellation does not apply to contracts for the supply of goods that are not prefabricated and the production of which is determined by an individual selection or specification by the consumer or which are clearly tailored to the consumer's personal requirements.

13. Environmental and EPR Registration (France)

14. Offsetting
The customer may only offset undisputed claims that are acknowledged by us or are legally binding. These limitations shall not apply if the claim arises from the same contractual relationship as our claim against which the offset is asserted.

For customers resident in Italy, the following applies:
Offsetting shall only be permissible in accordance with Article 33.2 (C) of Legislative Decree No. 206 ff. of 6 September 2005, as amended.

15. Alternative Dispute Resolution
We always endeavour to resolve any differences of opinion arising from our contract in an amicable manner. Furthermore, we have decided not to participate in arbitration proceedings. We are under no obligation in this regard.

16. Applicable Law, Jurisdiction and Data Protection
The law of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). Where the customer constitutes a consumer, the consumer shall also benefit from the protection of the mandatory provisions of the law that would be applicable without the aforementioned clause, in particular, the law of the country in which the customer habitually resides (Art. 6 (2) of Regulation (EC) No 593/2008, Rome I).

Furthermore, the provisions applicable under the law of your country of residence remain unaffected for consumers, insofar as these offer a higher level of protection than the provisions applicable under German law.

The following shall apply to German customers:
Where the customer is acting in a business capacity, a legal entity under public law or a special fund under public law, the place of jurisdiction shall be Crailsheim.

For customers resident in Austria, Belgium, Bulgaria, Croatia, the Czech Republic, Denmark, Finland, France, Greece, Hungary, Italy, Ireland, Luxembourg, the Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain and Sweden, the following applies:
Where the customer constitutes a consumer, the customer may, at their discretion, assert claims in connection with these terms and conditions either before the court of the place where the consumer is domiciled, provided this is an EU member state, or before the court at the registered office of eleven teamsports GmbH in Germany. eleven teamsports GmbH may initiate legal proceedings against a customer who is a consumer before the courts of the Member State in which the consumer is domiciled. Where the customer is acting in a business capacity, the jurisdiction of German courts at eleven teamsports GmbH's registered office is deemed to be agreed upon. eleven teamsports GmbH shall also be entitled to bring claims before the courts at the customer's place of business.

Allgemeine Geschäftsbedingungen


§ 1 Allgemeines

Diese Allgemeinen Geschäftsbedingungen gelten für Verträge zwischen der eleven teamsports GmbH und ihren Kunden. Soweit im Folgenden der Begriff des Verbrauchers verwendet wird, gilt: Verbraucher ist jede natürliche Person, die ein Rechtsgeschäft zu Zwecken abschließt, die überwiegend weder ihrer gewerblichen noch ihrer selbstständigen beruflichen Tätigkeit zugerechnet werden können.

Diese Allgemeinen Geschäftsbedingungen gelten vorbehaltlich individueller anderslautender Abreden ausschließlich. Dem formularmäßigen Verweis auf Allgemeine Geschäftsbedingungen des Kunden wird widersprochen.

Werden Artikel kostenlos der Bestellung zugegeben, so steht dies unter der Bedingung, dass der Kaufvertrag Bestand hat und insbesondere nicht durch Rücktritt oder Widerruf aufgehoben wird. Wird der Kaufvertrag aufgehoben, sind diese Artikel ebenfalls zurückzugewähren.

§ 2 Vertragsschluss

Sämtliche Informationen auf der Webseite stellen lediglich eine Aufforderung zur Abgabe eines Angebots dar. Die Darstellung der Produkte in unserem Online-Shop ist kein rechtlich bindendes Angebot, sondern stellt einen unverbindlichen Onlinekatalog dar. Die Informationen stellen weder ein Angebot unsererseits noch einen rechtsverbindlichen Vertrag dar. Der Kunde gibt durch seine Bestellung ein Angebot zum Kauf der in der Bestellung aufgeführten Produkte ab.

Nach Erhalt der Bestellung senden wir per Email eine Bestellbestätigung. Durch diese erfolgt keine Annahme des Vertragsangebotes des Kunden. Eine Annahme des Angebots erfolgt erst durch Erhalt einer Versandbestätigung. Durch unsere Annahme des Angebots übernehmen wir kein Beschaffungsrisiko für die betroffenen Waren.

Auch im Rahmen von Trikot- und Gewinnspielaktionen, stellen die von uns zur Verfügung gestellten Informationen kein rechtsverbindliches Angebot dar. Ein rechtsverbindlicher Vertrag über die Ware kommt erst durch Erhalt einer Versandbestätigung zustande.

§ 3 Preise

Alle Preise beinhalten die jeweils gültige Mehrwertsteuer. Ist der Kunde Unternehmer, gilt: zwischen Abschluss und Lieferung eintretende Änderungen der Listenpreise unserer Lieferanten oder der Preisberechnung zu Grunde liegenden Frachten, Steuern, Zölle, Abgaben oder sonstigen Kosten oder das Eintreten neuer Belastungen berechtigen uns zu entsprechender Preiserhöhung, solange der Kunde die Zahlung dieser Kosten von seinen Vertragspartnern verlangen kann.

Ist der Kunde Verbraucher, gilt: eine Preiserhöhung aus vorgenannten Gründen und im vorgenannten Umfang steht uns zu, wenn die Waren oder Leistungen mindestens vier Monate nach Vertragsschluss geliefert oder erbracht werden sollen. Dies gilt nicht für Dauerschuldverhältnisse.

§ 4 Widerrufsrecht und Widerrufsformular

Ausschließlich Verbrauchern wird ein Widerrufsrecht nach Maßgabe der gesetzlichen Vorschriften eingeräumt; beachten Sie hierzu bitte die Widerrufsbelehrung (abrufbar unter: https://www.11teamsports.com/de-de/informationen/widerrufsrecht/) sowie das Widerrufsformular (abrufbar unter: https://www.11teamsports.com/de-de/informationen/widerrufsformular/) oder das Muster-Widerrufsformular (abrufbar unter: https://www.11teamsports.com/de-de/informationen/widerrufsrecht/#Muster-Widerrufsformular).

Das Widerrufsrecht besteht, soweit die Parteien nichts anderes vereinbart haben, nicht bei Verträgen zur Lieferung von Waren, die nicht vorgefertigt sind und für deren Herstellung eine individuelle Auswahl oder Bestimmung durch den Verbraucher maßgeblich ist oder die eindeutig auf die persönlichen Bedürfnisse des Verbrauchers zugeschnitten sind.

§ 5 Eigentumsvorbehalt

Ist der Kunde Verbraucher, gilt: die Ware bleibt bis zur vollständigen Kaufpreiszahlung in unserem Eigentum. Der Käufer ist nicht befugt, die Ware zu verkaufen, zu veräußern oder zu belasten, bevor sie nicht in sein Eigentum übergegangen ist. Betreibt ein Dritter die Zwangsvollstreckung in die Ware, ist der Kunde verpflichtet, uns hiervon unverzüglich in Kenntnis zu setzen und uns alle Informationen und Unterlagen zur Verfügung zu stellen, die für eine Intervention erforderlich sind. Der Käufer hat dem Verkäufer alle Schäden und Kosten zu ersetzen, die durch einen Verstoß gegen diese Verpflichtung und durch erforderliche Interventionsmaßnahmen gegen Zugriffe Dritter entstehen.

Verhält sich der Käufer vertragswidrig, insbesondere wenn der Käufer seiner Zahlungsverpflichtung trotz einer Mahnung des Verkäufers nicht nachkommt, kann der Verkäufer nach einer vorherigen angemessenen Fristsetzung vom Vertrag zurücktreten und die Herausgabe der noch in seinem Eigentum stehenden Waren verlangen. In der Zurücknahme der Ware durch den Verkäufer liegt ein Rücktritt vom Vertrag. Die dabei anfallenden Transportkosten trägt der Käufer. In der Pfändung der Ware durch den Verkäufer liegt stets ein Rücktritt vom Vertrag. Der Verkäufer ist nach Rückerhalt der Ware zu deren Verwertung befugt. Der Verwertungserlös ist auf Verbindlichkeiten des Verkäufers – abzüglich angemessener Verwertungskosten – anzurechnen.

Ist der Kunde Unternehmer, gilt zusätzlich: die Ware darf im Rahmen des ordentlichen Geschäftsgangs weiterverkauft werden. Die Kaufpreisforderung tritt der Kunde bereits jetzt in Höhe der noch offenen, uns zustehenden Forderung ab; wir nehmen die Abtretung bereits jetzt an. Der Kunde bleibt widerruflich zur Einziehung der Forderung berechtigt. Er teilt auf formlose Anfrage Name und Anschrift des Schuldners mit. Wir werden die Forderung unsererseits nicht einziehen, soweit der Kunde sich nicht in Verzug befindet oder ein Insolvenzantrag über das Vermögen des Kunden gestellt wurde.
Eine Verarbeitung oder Umbildung der Ware geschieht für uns. Im Fall der Verarbeitung oder Umbildung der Ware mit nicht in unserem Eigentum stehenden Stoffen erwerben wir Miteigentum an der neuen Sache im Verhältnis des Werts der Ware (Faktura-Endbetrag inkl. Umsatzsteuer) zum Wert der neuen Sache. Gleiches gilt für den Fall der Verbindung oder untrennbaren Vermischung, soweit die Ware nicht die Hauptsache ist.

§ 6 Lieferung

Ist die Lieferung der Ware geschuldet, übergeben wir die Ware an ein Versandunternehmen, das die Ware frei Bordsteinkante anliefert. Die Lieferdauer für das gewünschte Produkt ergibt sich aus der Warenbeschreibung im Rahmen unseres Angebots. Ist dort nichts anderes angegeben, versenden wir die Ware bei der Vereinbarung von Vorkasse in der Regel binnen zweier Werktage seit Zahlungseingang; ist nicht Vorkasse vereinbart, in der Regel binnen zweier Werktage seit Eingang Ihrer Bestellung.

Ist der Kunde Unternehmer, gilt: alle Sendungen reisen stets auf Gefahr des Kunden. Die Gefahr geht auf den Kunden über, sobald die Sendung an die den Transport ausführende Person übergeben worden ist. Wir wählen Versandart und -weg, jedoch ohne Gewähr für billigste Verfrachtung, volle Ausnutzung des Ladegewichts und gewünschte Wagen- oder Behältergröße. Wünsche des Kunden werden nach Möglichkeit und auf seine Kosten berücksichtigt. Für Lieferverzögerungen, die das Versandunternehmen zu vertreten hat, haften wir nicht.

Liefer- und Leistungsverzögerungen aufgrund höherer Gewalt und aufgrund von Ereignissen, die uns die Lieferung wesentlich erschweren oder unmöglich machen (hierzu gehören auch nachträglich eingetretene Materialbeschaffungsschwierigkeiten, Betriebsstörungen, Streik, Aussperrung, Personalmangel, Mangel an Transportmitteln, behördliche Anordnungen usw. auch wenn sie bei unseren Lieferanten oder deren Unterlieferanten eintreten), haben wir auch bei verbindlich vereinbarten Fristen und Terminen nicht zu vertreten. Sie berechtigen uns, die Lieferung um die Dauer der Behinderung zuzüglich einer angemessenen Anlaufzeit hinauszuschieben oder wegen des noch nicht erfüllten Vertragsteils ganz oder teilweise vom Vertrag zurückzutreten.

Wenn die Behinderung länger als 6 Wochen dauert, ist der Kunde nach angemessener Nachfristsetzung berechtigt, hinsichtlich des noch nicht erfüllten Vertragsteils vom Vertrag zurückzutreten.

Wir sind zu Teillieferungen berechtigt, sofern die Produkte getrennt nutzbar sind, wobei wir bei Teillieferungen die zusätzlichen Versandkosten tragen.

Wir sind ausnahmsweise nicht zur Lieferung der bestellten Ware verpflichtet, wenn wir die Ware unsererseits ordnungsgemäß bestellt haben, jedoch nicht richtig oder rechtzeitig beliefert wurden (kongruentes Deckungsgeschäft). Voraussetzung ist, dass wir die fehlende Warenverfügbarkeit nicht zu vertreten haben und Sie über diesen Umstand unverzüglich informiert haben. Zudem dürfen wir nicht das Risiko der Beschaffung der bestellten Ware übernommen haben. Bei entsprechender Nichtverfügbarkeit der Ware werden wir Ihnen bereits geleistete Zahlungen unverzüglich erstatten.

§ 7 Gewährleistung bei Kaufverträgen

Wir weisen darauf hin, dass kein Gewährleistungsfall vorliegt, wenn das Produkt bei Gefahrübergang die vereinbarte Beschaffenheit hatte. Ein Gewährleistungsfall liegt insbesondere in folgenden Fällen nicht vor:

  • bei Schäden, die beim Kunden durch Missbrauch oder unsachgemäßen Gebrauch entstanden sind,
  • bei Schäden, die dadurch entstanden sind, dass die Produkte beim Kunden schädlichen äußeren Einflüssen ausgesetzt worden sind (insbesondere extremen Temperaturen, Feuchtigkeit, außergewöhnlicher physikalischer Beanspruchung).

Schlägt die Nachbesserung oder die Ersatzlieferung nach angemessener Frist fehl, kann der Kunde nach seiner Wahl Herabsetzung der Vergütung (Minderung) verlangen oder den Rücktritt vom Vertrag erklären.

Gewährleistungsansprüche von Unternehmern verjähren in einem Jahr; hiervon unberührt bleibt die Verjährung von Rückgriffansprüchen im Sinne der §§ 478, 479 BGB. Wird gebrauchte Ware verkauft, ist die Gewährleistung gegenüber Unternehmern ausgeschlossen: es sei denn wir haben grob fahrlässig oder vorsätzlich unsere Pflichten verletzt. Gegenüber Verbrauchern verjähren die Gewährleistungsansprüche in zwei Jahren, bei gebrauchter Ware in einem Jahr.

Ist der Kunde Kaufmann, gilt: der Kunde muss die Sendung bei Ankunft unverzüglich auf deren Identität sowie auf Transport- und Lagermängel untersuchen und uns von etwaigen Mängel oder Verlusten sofort durch eine Tatbestandsmeldung des Spediteurs und schriftlich Mitteilung machen. Im Übrigen müssen uns offensichtliche Mängel unverzüglich, spätestens jedoch innerhalb von zwei Wochen nach Lieferung schriftlich mitgeteilt werden. Mängel, die auch bei sorgfältiger Prüfung innerhalb dieser Frist nicht entdeckt werden können, sind uns unverzüglich nach Entdeckung mitzuteilen.

Die vorstehenden Absätze enthalten abschließend die Gewährleistung für die Produkte und schließen sonstige Gewährleistungsansprüche jeder Art aus. Dies gilt nicht, wenn der Kunde Verbraucher ist.

§ 8 Haftung

Schadensersatzansprüche wegen sämtlicher Leistungsstörungen und aus unerlaubter Handlung sind sowohl gegen uns als auch gegen unsere Erfüllungs- und Verrichtungsgehilfen ausgeschlossen, soweit der Schaden nicht vorsätzlich oder grob fahrlässig verursacht wurde. Dies gilt nicht für Schadensersatzansprüche aus Eigenschaftszusicherung, die den Kunden gegen das Risiko von Mängelfolgeschäden absichern sollen, sowie für Verletzungen von Leben, Körper und Gesundheit.
Lieferverzögerungen, die aufgrund von Verzögerungen bei der Herstellung entstehen, haben wir nicht zu vertreten.

Unsere Haftung für Schäden und Aufwendungen, die auf einfacher Fahrlässigkeit beruhen, ist ausgeschlossen, soweit die Ansprüche nicht auf der Verletzung von Vertragspflichten, deren ordnungsgemäße Erfüllung die Durchführung des Vertrags überhaupt erst ermöglichen und auf deren Erfüllung der Kunde regelmäßig vertrauen darf (im Folgenden: „Kardinalpflichten“) beruhen oder Ansprüche wegen der Verletzung von Leben, Körper oder Gesundheit betroffen sind. Ansprüche, die ihre Grundlage im Produkthaftungsgesetz finden, bleiben ebenfalls unberührt.

Soweit fahrlässig eine Kardinalpflicht verletzt wird, ist unsere Haftung der Höhe nach auf solche Schäden und Aufwendungen beschränkt, die in typischer Weise mit dem Vertrag verbunden und vorhersehbar sind.

Ist der Kunde Unternehmer gilt: ein Rücktrittsrecht des Kunden ist ausgeschlossen, wenn wir die Pflichtverletzung nicht zu vertreten haben. Das Rücktrittsrecht wegen Mängelgewährleistung bleibt davon unberührt.

Vorstehendes gilt auch für Pflichtverletzungen unserer Erfüllungsgehilfen.

Ist der Vertragspartner Unternehmer, so bleiben im Fall einer Entgeltforderung die Ansprüche des Vertragspartners auf Verzugszinsen von Vorstehendem unberührt. Gleiches gilt für den Anspruch des Vertragspartners einer Entgeltforderung auf die Pauschale nach § 288 Absatz 5 BGB oder auf Ersatz des Schadens, der in Kosten der Rechtsverfolgung begründet ist.

§ 9 Veredelung mit Motiven

Der Käufer trägt das Risiko der Verwendbarkeit der von uns bezogenen Motive für den jeweiligen von ihm verfolgten Zweck, soweit nicht schriftlich etwas anderes mit uns vereinbart ist. Wir können keine Garantie dafür übernehmen, dass ihre Verwendung nicht die Rechte Dritter verletzt.

Es ist nicht die Pflicht des Veredelers bei dem Druck von Motiven und Mustern die Freiheit von gewerblichen Schutzrechten Dritter beziehungsweise die Einwilligung in die Verwendung jener sicherzustellen.

Wird ein eigenes Motiv/Muster/Design des Kunden zur Verarbeitung/Herstellung übermittelt oder nimmt der Kunde sonstigen gestalterischen Einfluss auf das Produkt, garantiert der Kunde die Freiheit von gewerblichen Schutzrechten Dritter, insbesondere Firmenbezeichnungen, Urheber, - Persönlichkeits-, und/oder Markenrechte. Der Auftraggeber/Kunde wird, sofern die Pflichtverletzung von ihm zu vertreten ist, die eleven teamsports GmbH von allen Forderungen und Ansprüchen wegen der Verletzung von derartigen Rechten Dritter freistellen. Die eleven teamsports GmbH ist zur Nachprüfung der eingereichten Motive/Muster/Designs nicht verpflichtet, sie ist aber berechtigt bei begründeten Verdacht einer Rechtsverletzung die Arbeiten bis zur Aufklärung abzubrechen. Etwaige Schäden und frustrierte Aufwendungen gehen im Falle einer Verletzung der oben beschriebenen Rechte, durch den Auftraggeber/Kunden zu dessen Lasten.

§ 9a Besondere Aspekte bei veredelten Produkten

Nach begonnener Veredelung der gelieferten Waren durch den Käufer ist jede Beanstandung offener Mängel, einschließlich solcher, die bei gehöriger Prüfung (§ 377 HGB) festzustellen gewesen wären, ausgeschlossen. Die Gewährleistungsrechte des Verbrauchers bleiben davon unberührt Den Prozess der Veredelung der gelieferten Waren führt der Käufer auf eigenes Risiko durch. Es wird keinerlei Haftung gleich welcher Art (mit Ausnahme der in § 9 ausgenommenen Haftungsfälle) übernommen, wenn eine Veredelung abweichend von den von uns gegebenen Hinweisen, insbesondere zur Anwendung der Veredelungstechnologien, vorgenommen wurde. Der Veredler haftet nicht für handelsübliche Abweichungen oder geringe technisch nicht vermeidbare Abfälle und Abweichungen, z. B. der Qualität, Farbe, Breite, des Gewichts, der Ausrüstung oder des Designs.

§ 10 Aufrechnung

Der Kunde kann mit eigenen Forderungen nur aufrechnen, die unbestritten, von uns anerkannt oder rechtskräftig festgestellt sind. Diese Einschränkungen gelten nicht, soweit die Forderung dem gleichen Vertragsverhältnis wie unsere Forderung entstammt, gegen die aufgerechnet werden soll.

§ 11 Hinweis zu Informationspflichten nach dem Verbraucherstreitbeilegungsgesetz (VSBG)

Wir sind nicht zur Teilnahme an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle verpflichtet. Bitte haben Sie Verständnis, dass wir dazu auch nicht bereit sind.

§ 12 Schlussbestimmungen

Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts. Ist der Kunde Kaufmann, juristische Person öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen, ist Crailsheim Gerichtsstand.
